Hybrid Remote Schedule
This role has the option to be a blend of remote and onsite work if department and business needs allow and with approval from direct supervision. Our hybrid remote work schedule combines three (3) days on premises with up to two (2) days remote.
Key Roles
Responsible for assisting the General Counsel and VP, Deputy General Counsel in managing various legal affairs of EKPC. Collectively addresses the full range of legal issues including regulatory and general civil matters, with an emphasis on environmental law. Additional issues may include general corporate and transactional issues, corporate governance, contract formation and performance, risk management, real estate, condemnation, intellectual property, and general employment issues.
Key Responsibilities
Serves as legal counsel in proceedings involving the cooperative in federal and state courts, the Kentucky Energy & Environment Cabinet, Kentucky Public Service Commission, Federal Energy Regulatory Commission and other federal, state or local administrative or other governmental agencies or bodies.
Drafts, reviews, revises, or directs the preparation of all major contractual agreements and real property transactions involving the cooperative.
Reviews board agenda items and resolutions for proper legal form and consistency with legal and corporate requirements, attends board committee meetings to provide counsel and advice to the standing and other board committees on legal matters, and provides information to the board on legal issues through reports and presentations.
Provides legal advice and counsel to the cooperative and its business units on statutory, regulatory, corporate, or contractual rights, duties, limitations, and requirements.
Formulates and recommends a cooperative position on legislation which would impact the cooperative and assists in pursuing the cooperative's interests in such matters.
Provides input for the planning, management, and budgeting of internal and external legal services.
Interacts and communicates with internal/external customers in a way that builds productive relationships
Performs other duties as assigned.
Key Requirements
Education:
Juris Doctor degree from an accredited law school is required.
Experience:
A minimum of five (5) years in the active practice of law is required.
Experience preferred in practicing before state and federal administrative or quasi-judicial tribunals, and all levels of state and federal courts.
Experience in matters involving environmental law.
Skills and Abilities:
Member in good standing of the Kentucky Bar Association.
Working knowledge of state and federal statutes and regulations governing cooperatives, corporation law, commercial law, administrative law, and trial and appellate procedures.
Familiarity with labor law, condemnation law, electric utility law as well as statutes and regulations governing equal opportunity employment.
Significant contract experience.
