The Doctors Company is currently seeking an Assistant Vice President- Assistant General Counsel for our Legal team in either our Napa headquarters or Jacksonville Regional office.
Under minimal supervision, this position is responsible for providing legal counsel on a variety of topics including advising, counseling and preparing of insurance coverage analyses; reviewing a variety of contractual arrangements; and providing appropriate advice and counsel to business unit clients regarding same. Contacts for this position include employees, outside legal counsel and policy holders.
Analyzes insurance coverage provided under the policies issued by the company.
Prepares position statements to the company’s insureds regarding coverage limitations.
Counsels the claims personnel regarding insurance coverage limitations and litigation management arising from coverage issues.
Advises the claims and underwriting departments of potential enterprise risk management issues pertaining to coverage evaluations.
Participates in periodic Claims Executive Committee meetings to address and assess emerging claims and coverage issues.
Reviews contracts and legal documents to identify significant legal and/or business issues
Provides opinions and comments, and drafts recommended edits to contracts and legal documents
Communicates and guides staff with respect to the strategy, structure, and negotiation of contracts and legal documents
Prepares model agreements and legal documents for common transactions to optimize efficiency and uniformity with respect to the processing and memorialization of such arrangements
Provide legal support to business units
Collaborates with business units provide needed support and guidance.
Prepares recommendations to provide to business unit leaders.
Establishes and maintains productive relationships across all levels within the TDC organization
Manages issues, risks and decision making within effective time-frame and outcome.
Other duties as assigned
Assists with a variety of department and company-wide projects
Makes oneself available for any and all duties
Accepts delegated tasks readily and completes assigned duties as directed
JD-Doctor of Law or equivalent law degree.
Bar admitted in one jurisdiction. CA or FL bar admission strongly preferred.
Minimum of 10 years experience in an in-house law department or law firm setting, handling complex insurance coverage and corporate contractual matters.
Outstanding written and communication skills are essential. Ability to respond effectively to the most sensitive inquiries or complaints. Ability to effectively and persuasively speak to and make presentations on controversial or significantly complex topics to senior management, public groups, and board of governors.
Demonstrated oral and written communication, presentation, interpersonal and negotiating skills, that have proven effective at resolving and explaining complex issues to a wide variety of audiences.
Ability to concisely analyze information, draw conclusions and make recommendations.
Ability to work in a fast-paced, deadline-driven environment where adherence to and compliance with industry rules and regulations is paramount.
Knowledge of federal and state laws applicable to the insurance industry.
Proficient with Microsoft Office (Word and Excel).
Ability to work with diverse personalities and individuals at all levels.
Ability to maintain confidentiality of information processed, as appropriate.
Ability to travel.
